Terms of Service

These terms of service ("Terms") govern your use of the websites sonakmedia.com and avilocus.com ("the Website") and the products and services offered by Sonak Media Ltd ("we", "us", "our"). AViLocus is a trading name of Sonak Media Ltd.

Please read these Terms carefully before using our Website or services. By accessing or using our Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

• "We", "us", "our" refers to Sonak Media Ltd, a company registered in England and Wales.
• "You", "your" refers to the individual or organisation accessing or using the Website or our services.
• "Services" refers to all products and services we offer, including our consultancy work (an AI audit, a fixed-price implementation project, and a monthly retainer), our productised services, and our subscription products.
• "Website" refers to sonakmedia.com and all pages within it.
• "Content" refers to all text, images, data, reports, code, and other materials on or generated by our Website and services.

By accessing or using our Website, submitting any form, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Sonak Media provides AI and automation consultancy, alongside products and productised services. Our work falls into the following categories:

• AI audit: a paid, fixed-fee review of how work moves through your business, ending in a prioritised roadmap and a walkthrough call.
• Implementation project: a fixed-price build of agreed items from that roadmap, scoped in a written proposal before any work starts.
• Monthly retainer: ongoing monitoring, maintenance, reporting and further automation work on the systems we have delivered.
• Productised services: pre-scoped systems with a named outcome, such as Lead Reactivation, Speed to Lead, and Lead Generation.
• Products: software we build and operate ourselves, currently including AViLocus (audiovisual industry), Sqyros (audiovisual design and field operations), GrossGuard (for freelance and self-employed carers), and Ordcura (in development).

Our consultancy work and productised services are designed for business use (B2B). They are intended for companies, sole traders, and organisations, not for personal consumer use. Some of our products are used directly by individuals, and where that is the case the product's own terms will say so.

Availability. We work to a deliberate capacity limit: at most one active implementation project and one audit at a time, with retainers counting towards that limit. We will tell you what we can actually start, and when, before you commit to anything. Nothing on the Website should be read as a promise that we are available immediately.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where practicable.

Some of our services require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Keep your account credentials secure and confidential
• Notify us immediately if you become aware of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or have been inactive for an extended period.

All content on the Website, including text, graphics, logos, branding, software, and underlying systems, is the property of Sonak Media Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our prior written permission.

Where we provide reports or other deliverables to you, these are provided for your own use. You may not redistribute, resell, or publish these materials without our written consent.

Our products are licensed to clients and users, not sold. Licence terms are set out in the relevant service agreement or product terms.

You agree not to:

• Submit false, misleading, or spam information through any form on the Website
• Attempt to gain unauthorised access to our systems, accounts, or data
• Use automated tools (bots, scrapers, crawlers) to access the Website without our written permission
• Interfere with or disrupt the operation of the Website or its infrastructure
• Use the Website or our services for any unlawful purpose
• Impersonate another person or entity when using our services

We reserve the right to block access to the Website or terminate services for any user who violates these rules.

This section applies to clients who engage our paid services. Not everything we do is a subscription, so the fees, payment schedule and term for your engagement are set out in the proposal or order you accept. Where that document and this section differ, that document applies.

• Audits and implementation projects: these are fixed-price and invoiced. They are not subscriptions. The proposal states the fee and when each instalment falls due.
• Retainers: billed monthly in advance. A retainer continues month to month until either party gives 30 days' written notice. Any monthly allowance of work applies to that month and does not roll over.
• Subscription products: billed monthly in advance. Some also carry a one-off setup fee and usage fees, for example a fee for each appointment booked on your behalf. The product page or order states which of these apply.
• How to pay: card payments are processed by Stripe. We may also accept payment by bank transfer, and for larger invoices we may ask to be paid that way.
• Price changes: We may change our prices with at least 30 days' written notice. If you do not agree to a price change, you may cancel before it takes effect.
• Cancellation: You may cancel a subscription at any time, and your access continues until the end of the current billing period. Retainers are subject to the notice period above. Fixed-price work that has already been agreed runs to completion on the terms of its proposal.
• Refunds: Refunds are provided at our discretion. If you believe you are entitled to a refund, please contact us at legal@sonakmedia.com.
• Late payment: We reserve the right to suspend access to services if payment is overdue by more than 14 days.

To the fullest extent permitted by law:

• Our services are provided on an "as is" and "as available" basis.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability to you for any claims arising from or relating to these Terms or our services is limited to the total fees you have paid to us in the 12 months preceding the claim.
• We do not guarantee specific business outcomes. Where we give a figure in advance, for example hours saved or calls answered, it is an estimate based on the information available at the time, not a guaranteed result.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

Our systems use automated technology to deliver services. While we strive for accuracy and reliability, please note:

• Results vary depending on your industry, market, and many factors outside our control
• AI systems, including the ones we build, can produce output that is incomplete or wrong. Anything an AI system produces should be reviewed by a person before it is relied on for a decision that matters.
• Where a system we operate answers calls or books appointments on your behalf, it may occasionally misunderstand a caller or fail to answer, for example during an outage at a telephony or calendar provider.
• Our services are not a substitute for professional legal, financial, medical, or regulatory advice

You agree to indemnify and hold harmless Sonak Media Ltd, its directors, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your misuse of our Website or services
• Your violation of any applicable law or third-party rights
• Any false or misleading information you provide to us

Either party may terminate a service agreement by providing 30 days' written notice to the other party. A retainer may be terminated on that notice. Fixed-price work that has already started runs to completion on the terms of its proposal unless we agree otherwise in writing.

We may terminate or suspend your access immediately, without prior notice, if:

• You materially breach these Terms
• You use our services for unlawful purposes
• Your account is used for fraudulent or abusive activity

Upon termination:

• Your right to access our services will end
• We will retain your data in accordance with our Privacy Policy retention periods
• You may request a copy of your data before or within 30 days after termination
• Any outstanding fees remain payable

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction over any disputes arising from or relating to these Terms, subject to the following:

• EU users: Nothing in these Terms affects your mandatory rights under the consumer protection laws of your EU member state of residence.
• US users: You may opt to resolve disputes through binding arbitration administered under the rules of a mutually agreed arbitration body, as an alternative to court proceedings. Both parties must agree in writing to arbitration for it to apply.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes, we will provide at least 30 days' notice before the new terms take effect. We may notify you by email (if we have your contact details) or by posting a prominent notice on the Website.

Your continued use of the Website or our services after the updated Terms take effect constitutes your acceptance of the changes.

If any provision of these Terms is found to be invalid, unenforceable, or unlawful by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy and any specific service agreements you enter into with us, constitute the entire agreement between you and Sonak Media Ltd regarding your use of the Website and our services.

These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the same subject matter.
